All services are provided in accordance with Dutch tax law and professional standards applicable to tax advisory services in the Netherlands.

Client Responsibilities

As a client of underworks, you agree to:

• Provide accurate, complete, and timely information necessary for the provision of services
• Cooperate fully with underworks in the performance of services
• Pay all fees and charges in accordance with agreed terms
• Comply with all applicable laws and regulations
• Inform underworks immediately of any changes that may affect the services provided
• Maintain confidentiality of any proprietary information shared by underworks

Professional Standards

underworks is committed to maintaining the highest professional standards in all aspects of our tax advisory services. We adhere to:

• Dutch professional standards for tax advisors
• Ethical guidelines and codes of conduct
• Continuing professional development requirements
• Quality assurance and review procedures
• Client confidentiality and data protection standards

Fees and Payment

Service fees will be agreed upon in advance and may be based on hourly rates, fixed fees, or other arrangements as appropriate. Payment terms include:

• Fees are due within 30 days of invoice date unless otherwise agreed
• Late payment may result in interest charges and service suspension
• Disputed invoices must be raised within 14 days of receipt
• All fees are exclusive of VAT where applicable

Intellectual Property

All content on the underworks website, including text, graphics, logos, images, and software, is the property of underworks or its licensors and is protected by Dutch and international copyright laws. You may not:

• Reproduce, distribute, or publicly display our content without permission
• Modify or create derivative works based on our content
• Use our trademarks or service marks without authorization
• Reverse engineer or attempt to extract source code from our systems

Client materials and information remain the property of the client, while work products created by underworks in the course of providing services may be subject to shared ownership or licensing arrangements as agreed.

Confidentiality

underworks maintains strict confidentiality regarding all client information and communications. We will not disclose confidential information except:

• With your explicit written consent
• As required by law or legal process
• To the extent necessary to provide the agreed services
• To trusted third parties bound by similar confidentiality obligations

This confidentiality obligation continues indefinitely, even after the termination of our professional relationship.

Limitation of Liability

To the maximum extent permitted by Dutch law, underworks' liability for any claims arising from our services is limited as follows:

• Total liability shall not exceed the fees paid for the specific services giving rise to the claim
• We shall not be liable for indirect, consequential, or punitive damages
• Claims must be brought within one year of the date the claimant became aware of the issue
• Our liability does not extend to third-party actions or decisions based on our advice

This limitation does not apply to liability for gross negligence, willful misconduct, or violations of applicable law that cannot be limited by contract.

Termination

Either party may terminate the service relationship at any time with reasonable notice. Termination may occur:

• By mutual agreement between the parties
• By either party with 30 days written notice
• Immediately for breach of these terms or professional standards
• Immediately if continuation would violate legal or ethical requirements

Upon termination, all unpaid fees become immediately due, and both parties must return confidential materials. Certain obligations, including confidentiality and limitation of liability, survive termination.

Dispute Resolution

In the event of any dispute arising from these terms or our services, the parties agree to:

• First attempt to resolve the matter through good faith negotiations
• Consider mediation through a mutually agreed mediator
• Submit to binding arbitration if mediation is unsuccessful
• Pursue litigation only as a last resort

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes that cannot be resolved through alternative dispute resolution shall be subject to the exclusive jurisdiction of the Dutch courts.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Changes to Terms

underworks reserves the right to modify these Terms of Service at any time. Material changes will be communicated to existing clients, and the updated terms will be posted on our website with a new effective date.

Continued use of our services after changes have been made constitutes acceptance of the modified terms.
